RESOLUTION OF THE DINÉ STUDIES CONFERENCE INCORPORATED BOARD

Approving $75 Stipends for Diné Studies Conference Board of Directors for quarterly (4) meetings annually.

WHEREAS:

1. The Diné Studies Conference, Inc. is a non-profit corporation organized under the laws of the jurisdiction of the Navajo Nation authorized to transact business with the Navajo Nation as a domestic corporation; and

2. The Diné Studies Conference, Inc. is also authorized by the U.S. Internal Revenue Service to operate as a 501(c)3 entity; and

3. The Diné Studies Conference, Inc. is also authorized by the Arizona Corporation Commission as a Non-profit; and

4. The Diné Studies Conference, Inc. has a nine (9) member volunteer Board of Directors responsible for Diné Studies Conference, Inc. and the Board has adopted and operates by a set of By-Laws.; and

5. The Diné Studies Conference, Inc., since its inception, has elected board members to volunteer their time and to invest their own resources and time into fulfilling the organization’s mission; and

6. The Diné Studies Conference, Inc. has encountered the challenge of retaining and recruiting board members to complete their full terms and to engage with conference planning and implementation; and

7. The Diné Studies Conference, Inc. has evolved from a conference planning organization to an educational organization with monthly virtual talk series, cultural workshops, online Navajo language resources, grant writing, Navajo language research, and online video teaching collection which is aligned to our mission; and

8. The Diné Studies Conference, Inc. recognizes that these additional programming initiatives require a more time intensive commitment from its board of directors and compensation must be provided to support the time and effort; and

NOW THEREFORE LET IT BE RESOLVED THAT:

9. The Diné Studies Conference, Incorporated Board hereby approves stipends of $75 for each meeting with a max of four times a year totaling $75 stipend x 9 Board of Directors x 4 quarterly meetings which equals $2,700 annually. It is with the understanding that these funds will be distributed to board of directors that join meetings on-time and actively contribute to the meetings. Non-attendance and late arrivals will not receive the full stipend.

10. The Diné Studies Conference Incorporated Board authorizes and directs the DSCI Treasurer to do all things necessary and proper to effectuate the purpose of this resolution.

I hereby certify that the foregoing resolution was considered by the Diné Studies Conference Incorporated Board at a duly called meeting via teleconference at which a quorum was present, and that the resolution was passed by a vote of in favor, opposed, and abstained, this 26th day of June, 2021.
