RESOLUTION OF THE DINÉ STUDIES CONFERENCE INCORPORATED BOARD

Approving 25% Administrative Indirect Cost for Diné Studies Conference Incorporated for Future Grants

WHEREAS:

1. The Diné Studies Conference, Inc. is a non-profit corporation organized under the laws of the jurisdiction of the Navajo Nation authorized to transact business with the Navajo Nation as a domestic corporation; and

2. The Diné Studies Conference, Inc. is also authorized by the U.S. Internal Revenue Service to operate as a 501(c)3 entity; and

3. The Diné Studies Conference, Inc. is also authorized by the Arizona Corporation Commission as a Non-profit; and

4. The Diné Studies Conference, Inc. has a nine (9) member volunteer Board of Directors responsible for Diné Studies Conference, Inc. and the Board has adopted and operates by a set of By-Laws.; and

5. The Diné Studies Conference, Inc., since its inception, has elected board members to volunteer their time and to invest their own resources and time into fulfilling the organization’s mission; and

6. The Diné Studies Conference, Inc. has evolved from a conference planning organization to an educational organization with that seeks grants and contracts from external organization to fulfill our mission; and

7. The Diné Studies Conference, Inc. recognizes that these additional initiatives efforts to compensate non-Board of Directors and specialized vendors and consultants to fulfill these obligations which requires extra resources to cover administrative overhead costs; and

NOW THEREFORE LET IT BE RESOLVED THAT:

8. The Diné Studies Conference, Incorporated Board hereby approves a 25% administrative Indirect Direct Cost for all grants and contracts from hereon.

9. The Diné Studies Conference Incorporated Board authorizes and directs the DSCI Treasurer to do all things necessary and proper to effectuate the purpose of this resolution.

I hereby certify that the foregoing resolution was considered by the Diné Studies Conference Incorporated Board at a duly called meeting via teleconference at which a quorum was present, and that the resolution was passed by a vote of in favor, opposed, and abstained, this 26th day of June, 2021.
